# Access Control
Source: https://help.spring.net/en/articles/10485730-access-control
Learn how to manage investor access in Spring with the Access Control system, including open/closed settings, tier requirements, approval processes, and token balance tracking.
## Overview
The Access Control system enables platform administrators to manage how investors gain access to their platforms, providing customizable access criteria that align with syndicate requirements.
## Access Control Panel
Administrators can configure three independent settings:
1. **Open/Closed Access** – Determines whether new investors can submit applications to the platform. Additional options only apply when the platform is open.
2. **Basic/Tier Requirements** – Specifies whether investors must meet certain tier qualifications before applying. Admins define which tiers trigger Access Control verification.
3. **Automatic/Manual Approvals** – Determines if investors receive instant acceptance or require administrator review after requesting access.
## Welcome Message Customization
Admins can add a rich-text welcome message for investors that displays in:
* Welcome emails sent to approved investors
* A modal window upon first visit after approval
## Tier Checking for Investors
Investors applying to platforms with tier requirements can:
* View the tier requirements directly in the application flow
* Check their current qualification status based on holdings
* Request an immediate eligibility check to reflect recent token acquisitions

Learn how to import deals to Spring! We support Excel, CSV, and .tsv file types. No limit on deals to import.
## Overview
Spring enables users to import all historical deals and investment rounds into the platform. This feature is particularly valuable for organizations managing multiple fundraising activities in a centralized location.
## When to Use the Importer
The import functionality proves especially useful when:
* You possess numerous deals or investment rounds completed before adopting Spring and want centralized raise management
* You need to reflect allocations in allocation management for stakeholders who haven't contributed on-chain (FIAT investors, team members, advisors with token vesting)
* You want to enable OTC trading for previously completed deals or rounds
* You need to distribute tokens and manage vesting schedules across multiple deals in one system
* You want to provide investors with a unified view of all their deals through Spring's investor portal
## Supported File Formats
Spring accepts the following spreadsheet formats:
* Excel / Spreadsheets
* CSV
* .tsv (tab-separated values)
The platform employs an automated importer that scans and extracts data from specified fields.
## Required Data Fields
**Essential information:**
* Investor wallet address
* Fee percentage (use 0 if no fee applies)
**Plus at least one of:**
* Invested amount or allocation (before fee)
* Invested amount or allocation (after fee)

Users prepare deal/round data in spreadsheet format. Spring reviews the data format, provides feedback, and initiates the import once both parties confirm clarity.
## Import Volume
There is no limit on the number of deals importable. Average clients typically import 10-20 deals, though some have successfully imported over 200.
## Timeline
Import completion typically requires **24-48 hours** and depends on:
* Data cleaning requirements (clarity on fees, wallet addresses)
* Total number of deals being imported

# Why is identity verification important?
Source: https://help.spring.net/en/articles/7931072-why-is-identity-verification-important
Understand the importance of identity verification for anti-money laundering compliance.
## Main Purpose
For businesses subject to anti-money laundering regulations, knowing the identity of your customers is required. Verification involves collecting valid identification documents, typically passports, to confirm customer identity.
## Key Objectives
The verification process aims to protect customers from financial crime while preventing money laundering and terrorist financing. The more you know about your members, the more you can make sure your community is kept safe.
## Web3 Context
The blockchain environment presents specific risks, including instances of fraud and asset loss due to anonymity. Without identity verification, individuals can disappear with funds, making compliance and business protection essential.
## Spring's ID & Biometric Verification Feature
### Activation
The feature activates through KYC (Know Your Customer) requirements during fundraising setup.
### Process Requirements
* Members must provide valid government ID
* Biometric verification confirms identity
* Failed verification blocks deal investment access
* High-risk members or those associated with illegal activities trigger notifications
### Standards
The methods for collecting and verifying ID and biometric data are rigorous, comprehensive, and stringent.
# What is KYC?
Source: https://help.spring.net/en/articles/7931107-what-is-kyc
Learn about Know Your Customer (KYC) verification and why it matters for investment platforms.
## Definition
KYC stands for 'know-your-customer.' It is a process of verifying customers' identities and assessing their risks. The practice aims to establish trust, enhance security, and maintain business-customer relationship integrity.
## Why KYC Matters
For venture capital firms, investment syndicates, and projects, understanding investor identity and background is critical. The process involves requiring investors to present valid identification and conducting screenings to determine whether individuals have ties to unlawful or sanctioned activities.
## Spring's KYC Requirements
Spring mandates KYC verification for all new users through:
* Government ID submission with biometric verification
* Collection and analysis of identification and biometric data
* Sanctions screening, PEP (Politically Exposed Person) screening, and adverse media screening for verified investors
* Notifications to clients if investors are flagged as high-risk or linked to illicit activities
The verification process combines automated checks with manual reviews, employing rigorous due diligence methodology. Spring analyzes identified risks before making approval or rejection decisions.
# What is sanctions screening?
Source: https://help.spring.net/en/articles/7931113-what-is-sanctions-screening
Learn about sanctions screening and how Spring implements it in the KYC process.
## Definition
Sanction screening is a process used to check individuals, organizations, or entities against official sanction lists.
Governments and international bodies maintain these lists to identify and restrict dealings with parties involved in prohibited activities, including terrorism, human rights abuses, or nuclear proliferation.
## Spring's Implementation
Spring incorporates automatic sanctions and watchlist screening into its Know Your Customer (KYC) process for investors. The screening checks against UN, EU, US, and UK sanctions lists and other blacklists and exclusions lists.
The system evaluates investor names, countries, and other identifying information against sanctioned parties databases. If an investor or associated wallet matches a sanctioned entity, the platform notifies the user and prevents the investment from proceeding.
# What is adverse media screening?
Source: https://help.spring.net/en/articles/7931115-what-is-adverse-media-screening
Learn about adverse media screening as part of the Know Your Customer (KYC) framework.
## Definition
Adverse media screening involves investigating public sources such as the media and the internet to determine if an individual or entity has been mentioned for engaging in illegal activities or negative behaviors.
This is an investigative component of the Know Your Customer (KYC) framework.
While having a 'clean record' does not guarantee a person's integrity, conducting adverse media screening helps uncover potential red flags that should have been identified.
# What is on-chain transaction screening?
Source: https://help.spring.net/en/articles/7931116-what-is-on-chain-transaction-screening
Learn about Spring's screening processes for wallet addresses and transactions to ensure compliance.
All wallet addresses that interact with the Spring platform undergo screening against OFAC crypto-specific sanctions to prevent engagement with individuals or organizations linked to illegal activities.
Spring performs additional on-chain examinations of wallets and transactions for investors flagged as high-risk. This process involves tracing the origin and flow of funds and comparing them against risk categories to determine exclusion eligibility.
## Risk Areas Covered
The screening covers several risk areas:
* Sanctions exposure
* Money laundering and financial crime
* Links to terrorism and terrorist organizations
* Other illegal or illicit activities and content
# What is money laundering?
Source: https://help.spring.net/en/articles/7931119-what-is-money-laundering
Learn about money laundering, its sources, and how to prevent it in investment contexts.
## Definition
Money laundering is the process of making illegally obtained funds appear legal or legitimate.
## Sources of Illegal Funds
Examples include:
* Proceeds from drug trafficking
* Human trafficking and organized crime activities
* Bribery and corruption
* Fraud schemes
* Tax evasion
## How Money Laundering Works
Money laundering involves disguising the true source of funds to make them seem like they came from legitimate sources. Criminals accomplish this through creating complex transactions to obscure the money's origin.
## Prevention Guidance for Investment Groups
Consider these critical questions:
1. Do I know the source of funds for each investor?
2. Have I received documentation or proof to verify the source of funds?
3. Is the fund owner in a position to have legally obtained the funds?
Answering "no" to these questions represents a red flag.
# What is AML?
Source: https://help.spring.net/en/articles/7931224-what-is-aml
Learn about Anti-Money Laundering (AML) laws, regulations, and practices.
AML stands for Anti-Money Laundering. It refers to laws, regulations, and practices aimed at preventing the illegal process of disguising the origins of illicitly obtained money.
For businesses that are subject to such laws, AML involves implementing measures to detect and deter money laundering activities, such as terrorism financing, drug trafficking, or fraud.
Without robust AML systems in place, your business can risk becoming an unwitting participant in criminal activities.
# What is CTF?
Source: https://help.spring.net/en/articles/7931227-what-is-ctf
Learn about Counter-Terrorism Financing (CTF) and its importance for investment platforms.
CTF, or Counter-Terrorism Financing, refers to measures taken to prevent the funding of terrorist activities. Terrorist financing involves providing financial support or resources, directly or indirectly, to individuals, groups, or organizations involved in terrorism.
Investment groups without CTF measures in place are at risk of enabling fund transactions that ultimately lead to terrorism and pose risks to global security.
# What is corruption?
Source: https://help.spring.net/en/articles/7931232-what-is-corruption
Learn about corruption and its relevance to compliance in investment contexts.
Corruption is when people in power misuse their position for personal gain. It can involve bribery, fraud, or abusing their authority. Corruption is harmful because it leads to unfairness, inequality, and a lack of trust in institutions.
Preventing and addressing corruption remains essential for maintaining societal fairness and accountability.
Managing corruption risk is particularly relevant in the context of PEP, because PEP are more exposed to bribery, abuse of power, and mismanagement of public funds.
# What is a PEP, and why is it important?
Source: https://help.spring.net/en/articles/7931235-what-is-a-pep-and-why-is-it-important
Learn about Politically Exposed Persons (PEPs) and why enhanced due diligence is required.
## Definition
A PEP refers to an individual who holds or has held a prominent public position or a position of influence, making them more susceptible to involvement in corruption or illicit activities.
## Who Qualifies as a PEP
The category encompasses high-ranking government officials, politicians, senior executives of state-owned enterprises, and individuals with close associations to such positions.
## Regulatory Importance
Enhanced due diligence measures are applied to prevent corruption, money laundering and other financial crimes when dealing with PEPs.

# Does Spring support FIAT investments?
Source: https://help.spring.net/en/articles/7952687-does-spring-support-fiat-investments
Learn how you can easily reflect an allocation done through FIAT in the allocation management of your raise.
Spring doesn't offer direct FIAT on-ramp functionality. However, the platform allows you to document and track allocations completed through traditional currency without requiring an on-chain transaction.
While you still have to receive the FIAT outside Spring, the investment can be managed inside Spring like any other allocation.
## FIAT Investment Process
The platform uses the Spring importer tool to add FIAT-based investments to your fundraising records. This tool assists in uploading investor contact details and contribution amounts made via traditional currency into the allocation management system.
For detailed import procedures, see [How to import past deals into Spring](/en/articles/6998840-how-to-import-past-deals-into-spring).
## Investor Benefits
Investors contributing through FIAT receive token allocations according to the established vesting schedule, matching the treatment of other contributors. Their investment details become visible in the investor portal, providing the same visibility as blockchain-based investments.
# How to change the wallet you receive tokens on
Source: https://help.spring.net/en/articles/7953886-how-to-change-the-wallet-you-receive-tokens-on
As an investor, you can change the wallet address in which you receive tokens if the deal is still open for new contributions.
## Key Information
There are two methods for updating your token receipt wallet:
1. **Self-Service:** You can independently modify the wallet address, provided the platform owner has enabled editing permissions for that specific deal.
2. **Administrator Assistance:** A platform administrator can make the change on your behalf.
## Important Distinctions
### Account Wallet vs. Receiving Wallet
Changing the receiving wallet does **not** change your account wallet.
Your allocation remains visible in the investor portal linked to your login credentials, not your new receiving wallet.
### Moving Allocations Between Accounts
To transfer your allocation to a different account for visibility in another investor portal, you must request assistance from a platform administrator—this cannot be done independently.
# An investor is unable to view an allocation in their investor portal. How should I proceed?
Source: https://help.spring.net/en/articles/7953936-an-investor-is-unable-to-view-an-allocation-in-their-investor-portal-how-should-i-proceed
Allocations in the investor portal are displayed based on account wallets. By logging in to the correct account, you'll see your allocation.
## Problem Overview
The core issue is that allocations display according to the wallet associated with each account. Users must access the proper account to view their specific allocation.
## Recommended Steps for Investors
Investors unable to locate an allocation should:
1. Confirm if they made contributions using different accounts.
2. Then, try signing into the specific account associated with that particular allocation.
The data displayed in the investor portal is tied to the account to which the allocation is linked.
## Solution for Consolidating Multiple Investments
To combine all investments into a single dashboard:
1. Transfer all allocations to a single account through the admin dashboard.
2. Changing investor accounts can only be done by platform administrators.
# An investor's wallet has been hacked. What should I do?
Source: https://help.spring.net/en/articles/7954008-an-investor-s-wallet-has-been-hacked-what-should-i-do
In the scenario that a wallet has been compromised, it is paramount that you move the investor's allocations to a new account.
If a wallet has been compromised, immediately transfer the member's allocation to a new account wallet in Spring.
See [How to manage investors inside a deal](/en/articles/7007612-how-to-manage-investors-inside-a-deal) for instructions.
## Key Point
Moving the allocations to a new account is the only way to make sure the hacker doesn't have access to modify sensitive data.
A hacker who has obtained access to an investor's wallet can sign into the investor's portal using their account and manipulate sensitive data.
## Important Note
Simply modifying receiving wallets is insufficient. Hackers can retain login access and potentially alter receiving wallets for open deals where the investor has contributed funds.
## Action for Affected Members
Members with compromised wallets should let your platform's administrator know immediately to get help modifying the account to which your allocations are linked.
# A wallet I have contributed with has been hacked. What do I do?
Source: https://help.spring.net/en/articles/7954024-a-wallet-i-have-contributed-with-has-been-hacked-what-do-i-do
In the scenario that your wallet has been compromised, it is paramount that you contact your platform administrator immediately.
If a wallet has been compromised please contact your platform's administrator immediately.
The platform administrators will facilitate transferring allocations to a new account wallet within Spring. This transfer process represents the essential safeguard against unauthorized modifications.
A critical security concern: a hacker who has obtained access to an investor's wallet can sign into the investor's portal using their account and manipulate sensitive data.
**Important limitation:** Simply changing receiving wallet addresses provides incomplete protection. Hackers retaining account access could still alter receiving wallets for open investments.
You should always verify with your platform admin that all your allocations have been safely moved to the new account of your choice.

Source: https://help.spring.net/en/articles/7965786-how-to-complete-the-kyc-process
Guide for completing Know Your Customer (KYC) verification on the Spring platform, including identity verification requirements and troubleshooting steps.
## The KYC Process
To complete KYC, you'll need to provide all the information below:
Include your full name with correct spelling to avoid errors or delays. The name you write in the 'About you' field must match exactly the one in your ID.
## ID Upload Requirements
### Checklist for Valid ID:
* Not expired
* Contains date of birth
* Clear and legible presentation
* Free from light reflection
Uploading your passport will speed up the KYC process. Uploading other types of ID may prolong the KYC process.
Available ID types depend on country selection. For certain jurisdictions, only passports are accepted. See [Accepted IDs for KYC](/en/articles/8736254-accepted-ids-for-kyc) for an overview of passport-only requirements.
Providing false information or an inauthentic ID (fake ID, modified ID, or someone else's ID) will ban you from registration and investment.
## Selfie Requirements
The selfie must clearly display the face from front, left, and right angles:
* Position face center, then move left and right
* Remove obstacles (glasses, etc.)
* Ensure adequate lighting
* Maintain clarity (no blur)
## KYC Status Explanations
**"KYC is pending"** indicates incomplete or incorrect verification. Contact: [compliance@spring.net](mailto:compliance@spring.net) with your wallet address.
**"Needs review"** means compliance analysis is underway. Do not resubmit, as this delays processing.

## Overview
When your Know Your Customer verification remains in a pending state, there are two primary causes: either your identity verification is incomplete or inaccurate, or the team requires supplementary information.
## Completing ID Verification Correctly
To properly complete the identity verification process, follow the detailed instructions in [How to complete the KYC process](/en/articles/7965786-how-to-complete-the-kyc-process).
## Receiving Notification of Additional Information Needs
The system communicates additional information requirements through email notifications. If no communication has been received, this indicates you must return and ensure the identity verification was completed accurately per the previous section.
## Accelerating the Review Process
Prompt email monitoring and providing accurate information during responses reduces back-and-forth communication delays, thereby expediting the overall verification timeline.
# What is an account wallet?
Source: https://help.spring.net/en/articles/7973450-what-is-an-account-wallet
Overview of account wallets on Spring's platform and their relationship to investor allocations and contributions.
An account wallet serves as the wallet address used to log in to Spring's platform and connects directly to the investor's contribution wallet.
## Key Points
### Allocation Assignment
* Allocations display in the investor portal based on the account wallet used for contributions
* Investors may select different wallets for token receipt, but the allocation will still belong to the investor portal of the account wallet
### Single Wallet Recommendation
* Every time an investor connects and contributes through a new wallet, a distinct account is established
* Platform recommends restricting contributions to one wallet per account
### Multiple Account Consequences
* Contributions across multiple accounts result in allocations spread across separate investor portals
* Platform administrators can consolidate allocations
If a wallet is compromised, it is imperative that you move all the investor's allocations to a new account wallet. Until moved, allocations remain at risk.
# Does Spring have multi-sig support?
Source: https://help.spring.net/en/articles/7974931-does-spring-have-multi-sig-support
A guide detailing Spring's current multi-signature wallet capabilities and limitations.
## Current Support
Spring enables users to add a Multi-sig wallet address as the fundraising wallet.
## Current Limitations
The platform does not yet support:
* Logging in using a multi-sig wallet
* Contributing through a multi-sig wallet
## Workaround
Despite these restrictions, there's an alternative pathway: an investor can still contribute directly to your contribution wallet using a multi-sig wallet. Users can subsequently add the transaction hash to allocation management after the contribution is made. This requires manual addition of the investor to the allocation management system.
The team plans to expand multi-sig support in the future.

This guide will show you the benefits of the OTC marketplace and how you can take advantage of it.
## What is Spring's OTC Trading?
Our OTC Trading allows investors to list, buy, and sell their off-chain allocations in a secondary marketplace inside your platform.
Participants can transact allocations before token launch (Pre-TGE) or after vesting commences (Post-TGE).
## Benefits
* Purchase and liquidate locked allocations immediately
* Create buy/sell orders to acquire additional allocations or achieve liquidity
## Activation Steps
1. Navigate to the **OTC** tab
2. Define your **EVM Escrow Wallet** and **Escrow Fee**
3. Go to the **Deals** tab
4. Select the desired **Deal**
5. Toggle the OTC button to activate trading
For an allocation to be eligible for sale, OTC trading must be activated by the platform admin for the respective deal.
## Fee Structure
Two fee components apply to transactions:
* **Escrow Fee:** Platform manager-determined charge
* **Service Fee:** A 2.5% fee by Spring on all OTC trades
Fees add to the purchase amount. Example: A \$1,000 transaction incurs additional fees charged to the buyer.
# Logging in to the Investor Portal
Source: https://help.spring.net/en/articles/7977204-logging-in-to-the-investor-portal
Learn how to log into your personal investor portal on the Spring platform.
In order to log into your personal investor portal, you need to go to the domain URL of the platform you are investing through. You can find this domain as part of a contribution page you are investing through, or by asking your platform manager what the URL is.
An example of a platform URL: `https://yourplatform.spring.net`
After navigating to the domain URL of the platform you belong to or the Global overview, you need to connect your wallet to the platform and sign in. You can sign in using WalletConnect and select your wallet of choice (ex: Metamask).
After signing the transaction that pops up for connecting to the platform, you can see your Investor Portal, which contains everything you need to know about your investments.
If you are missing an allocation in your portal, it might be because it belongs to another account.

Source: https://help.spring.net/en/articles/7977233-can-i-have-multiple-fundraising-wallets-in-a-deal
Learn about fundraising wallet limitations and alternatives in Spring deals.
It is currently only possible to have a single fundraising wallet in a deal.
However, you can still collect funds on multiple EVM chains on the one fundraising wallet you set.
## Alternative Solution
If you want to receive funds from different wallet addresses while raising funds, the only way to enable this is by creating separate deals.
# How are fees calculated on contributions?
Source: https://help.spring.net/en/articles/7977240-how-are-fees-calculated-on-contributions
Learn how fees deducted during investor contributions work on the Spring platform.
This article only applies to VCs and Investment syndicates, as projects do not charge an additional fee during a raise.
## Fee Calculation Model
Spring uses a **deductive fee structure** for deal participation. Rather than adding fees on top of investments, they are subtracted from the investor's total contribution amount.
The formula is: **Invested amount - Fee = Allocation**
This allocation determines token distribution to investors.
## Example Walkthrough
With a 10% fee and \$1 token price:
* Investor contributes: **\$1,000**
* Fee calculation: 10% × $1,000 = **$100\*\*
* Allocation: $1,000 - $100 = **\$900**
* Tokens received: $900 ÷ $1 = **900 tokens**
The defining factor for the number of tokens an investor receives is the allocation.
## Fee Distribution
Fundraising fees and contributions are directed to the same **Fundraising Wallet** configured within each deal. Spring provides detailed tracking showing:
* Total amount raised toward SAFT
* Total fees charged
This enables managers to determine how much to send to the project per SAFT requirements.
